- The Perennial: Ongoing-relationship support, seasonal check-ins, and ad-hoc breakthrough sessions.

2. No Guarantees of Yield (Our Operational Conditions)

Growth is a collaborative process, and we approach our client relationships with Compassionate Candor. While we design and deliver customized systems, our promise is strictly focused on the operational conditions we co-create, not specific business outcomes:

- We control and guarantee the quality of our operational structure, the precision of our support, and the clearing of administrative fatigue.

- We do not control the market, your industry's conditions, or external financial performance. Therefore, we do not guarantee a specific financial yield, profit increase, or business valuation.

- Weeds return in every real garden: We do not make permanence claims that your business will be "out of the weeds for good" or that you will "never need help again." Our goal is to build an ecosystem that ensures you have the capability and structure to manage them when they do appear.

3. The "Do-and-Teach" Model & Client Responsibility

We build our frameworks with you, teach you to run them, and stay in your corner as they grow. Because we operate on a do-and-teach model, you agree that:

- You and your team must actively participate in working sessions and leverage the tools provided.

- We cannot implement or maintain systems if you do not grant our team the necessary collaborative access or refuse to empower your team to execute within agreed parameters.

- Follow-through is designed as a shared responsibility, not a willpower test. However, the ultimate ownership of your business decisions remains entirely with you.

4. Intellectual Property

All materials, methodologies, visual systems, templates, and frameworks displayed on our site or provided during our engagements—including the concepts of The Trellis, The Cultivation Suite, The Greenhouse Lab, The Groundcover, and The Perennial—are the intellectual property of Kate Woods Executive Solutions. You are granted a limited, non-transferable license to use these materials internally within your business, but you may not resell, redistribute, or white-label our proprietary frameworks.

5. Billing, Setup Fees, and Payments

- Setup Fees: All core service lines require non-refundable setup fees to cover the manual design, mapping, and technical entry points required for your custom build. Setup fees are never fully waived except under explicit, pre-approved multi-service bundling contracts.

- Breaking Ground Credit: If you engage us for a lower-commitment breakthrough session, you may be eligible to apply that payment as a credit toward a larger structured engagement within a strict 90-day window.

- Late Payments: We reserve the right to pause active consulting, strategy, or virtual administrative services if accounts are not kept current.

6. Governing Law & Dispute Resolution

These Terms of Use are governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Benton County, Oregon (Corvallis/Albany).
